Novant and Rowan Regional Finalize Merger

Charlotte, NC -- Novant Health and Rowan Regional Medical Center (RRMC) finalized their merger. In August 2007, the Board of Directors of RRMC voted unanimously to merge with Novant Health. This action followed a process the board used to study an alliance with one of the state's major medical centers and health systems to strengthen RRMC's financial position and expand resources dedicated to its mission to provide quality health care services to a growing community.

"Now we can begin our partnership and focus on the benefits to all of the patients and residents in this region," said CEO and President Carl Armato, who heads Novant facilities and practices in the Southern Piedmont region. "Two dynamic healthcare organizations can now fulfill our similar missions, which is to improve the health of the communities that we serve, one person at a time."

Glenn Ketner, RRMC Board Chairman added, "We believe that our relationship with Novant will assure that RRMC remains a strong and progressive medical center in the years ahead as we pursue our principal goal of providing excellence in healthcare in Rowan County."

"One of our first collaborative projects includes the proposal to build a new 50-bed hospital in southern Rowan County," added Novant President Paul Wiles. "This project is an excellent example of how both healthcare systems can address the medical needs of North Carolina's rapidly growing communities." A certificate of need application for the $109 million dollar facility was filed with the North Carolina Division of Health Service Regulation in October. If approved, the new hospital is slated to open 18 months after the certificate of need is awarded.

To celebrate the official merger between the two healthcare entities, several employee ceremonies will be hosted on Jan. 2, including a complimentary breakfast and cake ceremony in the afternoon. Also on Jan. 2, leaders from both organizations will make rounds to meet and greet staff.

Now that the merger has become final, the 15-member RRMC board will remain in place with significant responsibility and authority. In addition, the chairman of RRMC's board will have a seat on the Novant Health board and RRMC will have two representatives on the Presbyterian Healthcare board. Carl Armato will become a member of the RRMC board. Additionally, the executive leadership of RRMC will remain intact.

RRMC will retain all current clinical services and will become the center of a corridor linking Presbyterian Mint Hill and Presbyterian Huntersville. Chuck Elliott, CEO or RRMC, will oversee the activities in that corridor and will report to the RRMC board and to the president of Novant Southern Piedmont Region, Carl Armato.

Novant Health will invest $250 million in RRMC and its facilities over the next five years to expand and improve services based on recommendations of the RRMC board. Novant Health also has assumed RRMC's current debt.

The RRMC Foundation will continue to operate under its current structure with all assets restricted to the benefit of RRMC. Under the terms of the proposal, Novant Health will give the Foundation a gift of $5 million and will match any future gift to the Foundation that equals or exceeds $25,000.
